Limited Liability Company "Khvoya", TIN 4 011 033 460 (registered address: 1 Sosnovy Gorodok Recreation Center, Verkhovye Village, Zhukovsky District, Kaluga Region, 249 190, Russian Federation), represented by Irina Vladimirovna Kovaleva, hereinafter referred to as the "Provider", hereby enters into this Public Offer Agreement with any individual, hereinafter referred to as the "Guest".
This Public Offer Agreement constitutes an agreement for the provision of temporary accommodation services at the Pine River Country Hotel and/or other additional services on a paid basis under the terms and conditions set forth herein, and regulates the procedure for the provision of services and the obligations arising between the Provider and the Guest, hereinafter collectively referred to as the "Parties".

Pursuant to Clause 2 of Article 437 of the Civil Code of the Russian Federation, this document constitutes a public offer. This public offer for the provision of hotel and/or additional services (hereinafter referred to as the "Agreement") is concluded in a special procedure by way of acceptance of this Agreement containing all material terms and conditions, without signing by the Parties.
This Agreement shall have legal force in accordance with Article 434 of the Civil Code of the Russian Federation and shall be deemed equivalent to an agreement signed by the Parties. This Agreement is an adhesion contract.
The fact confirming acceptance of the terms and conditions set forth below and acceptance of this public offer shall be the ordering of services (in accordance with Clause 3 of Article 438 of the Civil Code of the Russian Federation, acceptance of the offer shall be equivalent to entering into an agreement on the terms specified in the offer). A person ordering the service shall be recognized as the Guest or the duly authorized representative of the Guest.
This Agreement shall be deemed concluded from the moment of its acceptance, which is sent to the offeror by means of conclusive actions, namely full payment for the booked services. By doing so, the Guest confirms agreement with the terms and conditions hereof, after which this Public Offer Agreement shall become the principal document governing the official relationship between the Guest and the Provider and shall remain in force until the Parties have fully performed their obligations hereunder.
The Parties hereby agree as follows:
1. DefinitionsThe following terms shall be used in this Agreement:
Agreement — this Public Offer Agreement concluded between the Guest and the Provider for the provision of services by acceptance of the offer.
Provider — Limited Liability Company "Khvoya", authorized to provide or arrange the provision of services booked by the Guest.
Pine River Country Club — a complex of hotel, administrative and other buildings and facilities located at: Voskhod Village, Zhukovsky District, Kaluga Region, Russian Federation.
Room Inventory — modular accommodation units and buildings located within the territory of the Pine River Country Club intended for temporary accommodation of guests.
Guest (accommodated person) — an individual (Russian or foreign citizen) in whose name the accommodation and services are booked and who directly receives such services.
Acceptance of the Offer — full and unconditional acceptance of the terms of the offer by the Guest through actions expressing the intention to use the Provider’s services, including full payment for the services booked in the Guest’s interests.
Services — accommodation services provided at the Pine River Country Hotel branch and/or other additional (related) services rendered by the Provider to the Guest in accordance with the Provider’s Price List, the Rules for the Provision of Hotel Services in the Russian Federation (approved by Resolution No. 1853 of the Government of the Russian Federation dated November 18, 2020), other regulatory acts, and the "Rules of Residence and Use of Hotel Services at the Pine River Country Hotel".
Booking Request — a request submitted by the Guest for accommodation and residence within the Room Inventory, as well as for additional (related) services, made by any means available to the Guest, including by telephone, via the website, or by email.
Guaranteed Booking — a type of booking under which the Provider shall hold the reservation until the check-out time on the day following the scheduled arrival date.

Other terms not defined above may also be used herein. In such cases, interpretation of such terms shall be carried out in accordance with the text of this Agreement.
2. Subject Matter of the AgreementUnder this Agreement, the Provider undertakes to provide the Guest with services at the Pine River Country Hotel in accordance with the Provider’s Price Lists, and the Guest undertakes to pay for such services under the terms and conditions set forth herein.
The cost of services is specified in the Provider’s Price Lists (published on the Provider’s Website and available at the Provider’s reception desk).
3. Rights and Obligations of the Parties3.1. The Provider shall:3.1.1. Provide the Guest with information regarding the services of the Pine River Country Hotel and their prices, information on additional paid services, as well as the Rules of Residence and Use of Hotel Services at the Pine River Country Hotel, by publishing such information on the Provider’s Website and in the consumer information folders at the places where services are rendered.
3.1.2. Provide the Guest with services in accordance with the Guest’s requests, subject to availability on the requested dates.
3.1.3. At the Guest’s request, inform the Guest by telephone about room availability and confirm acceptance of booking requests.
3.1.4. Provide services in accordance with the Rules for the Provision of Hotel Services in the Russian Federation (approved by Resolution No. 1853 of the Government of the Russian Federation dated November 18, 2020) and the Rules of Residence and Use of Hotel Services at the Pine River Country Hotel.
3.1.5. Issue payment documents to the Guest, including cash register receipts and invoices.
3.1.6. Ensure 24-hour check-in and check-out registration for guests.
3.1.7. Remedy deficiencies arising during the provision of services within the timeframes agreed by the Parties.
3.1.8. Be responsible for the safekeeping of the Guest’s belongings in accordance with the legislation of the Russian Federation.
3.1.9. Compensate for damage caused to the life or health of the Guest resulting from hotel services that fail to meet the requirements and/or terms of the Agreement, in accordance with the legislation of the Russian Federation.
3.2. The Provider shall have the right to:
3.2.1. In the absence of available rooms or booking opportunities, subject to prior agreement with the Guest, place booking requests on a waiting list and confirm them as rooms become available, or cancel such requests with the Guest’s consent.
3.2.2. Allocate accommodation to the Guest based on received booking requests.
3.2.3. Refuse accommodation and/or services to the Guest:
— in case of violation of the Rules of Stay at the Pine River Country Hotel and the terms of this Agreement;
— in case of violation of payment terms for booked services;
— in case of refusal to accept the terms of this Public Offer Agreement and internal regulations governing service provision;
— in case of refusal to provide consent to the processing of personal data required for the performance of this Agreement.
3.2.4. Retain from the Guest or require payment for the full cost of services rendered and/or damage caused to the Provider (premises, inventory, equipment, or any other property of the Provider). The Guest acknowledges such actions as lawful and shall have no claims in this regard.
3.2.5. In case of delayed departure after the established check-out time, charge accommodation fees in accordance with the Provider’s current Price List.
If the Guest checks in before the established check-in time (early check-in) and subsequently stays at the hotel, the accommodation fee for the period from the time of check-in until the official check-in time shall not exceed half a day’s accommodation fee.
If the period between actual check-in and official check-in time exceeds 12 hours, a full day’s accommodation fee shall apply. Likewise, in case of late check-out after the established check-out time, the Guest shall be charged for a full day.
3.2.6. Accept payment for services.
3.2.7. In case of untimely return of rental equipment and/or inventory to the designated return locations, charge rental fees beyond business hours in accordance with the current Price List.
3.2.8. In case of untimely cancellation (less than 24 hours prior), delayed arrival, or no-show, charge the Guest or customer for the actual downtime of the room/guest house in the amount equal to the cost of the first night’s stay. In case of delay exceeding one day, the guaranteed booking shall be cancelled unless otherwise agreed.
3.2.9. Accept non-guaranteed bookings no earlier than one day before the established check-in time. For non-guaranteed bookings, the Provider reserves the right to hold the reservation until 4:00 PM on the arrival date (the holding period may be changed by the Hotel). If the Guest fails to arrive within the specified period, the reservation shall be cancelled without penalties.
3.2.10. In case of early departure from the room/guest house after the established check-out time, accommodation fees for the current day shall not be refunded.
3.2.11. In case of departure before the booked departure date, refunds shall be processed upon the Guest’s written application in the prescribed form specifying the departure time. If the stay duration is reduced, the Provider shall recalculate accommodation costs based on the actual duration of stay.
3.3. The Guest shall:3.3.1. Independently review in detail and in full the terms of this Agreement and the Rules of Residence and Use of Hotel Services at the Pine River Country Hotel.
3.3.2. Agree to the terms of this Offer. In case of disagreement, services shall not be provided. If the Guest has made a booking and/or payment, all terms of the Offer are deemed automatically accepted by the Guest.
3.3.3. Pay in full for the booked (ordered) services. After payment, the booking is considered confirmed, and the Guest obtains the right to use the services. Services are provided only after full (100%) prepayment.
3.3.4. Provide complete and timely information necessary for the provision of services and bear full responsibility for its accuracy.
3.3.5. Accept the risk of adverse consequences arising from inaccurate or false information provided to the Provider by phone or email.
3.3.6. Provide all necessary materials and information upon request for verification of payments and services rendered.
3.3.7. Pay for any additional services rendered.
3.3.8. Provide accurate information when booking via the website, phone, or email.
3.3.9. Comply with the terms of this Offer.
3.3.10. Comply with the Rules of Residence and Use of Hotel Services at the Pine River Country Hotel.
3.3.11. Be liable for and compensate for any damage caused to the property of the Hotel due to their fault, in accordance with Russian law and the Hotel’s rules. The amount of compensation shall be determined according to the approved damage compensation list or by an internal commission of the Provider.
3.3.12. Vacate rooms on time and settle all outstanding payments upon departure, including compensation for damage or missing property. Return rented items before the end of operating hours.
3.3.13. Not accommodate more guests than the number of beds specified in the price list.
3.3.14. Present identification documents upon check-in and/or when receiving additional services.
3.3.15. Pay all issued invoices for services in full.
3.3.16. Comply with fire safety rules within accommodation facilities.
3.4. The Guest shall have the right to:3.4.1. Choose one of the following payment methods:
- cash payment to the Provider’s cash desk;
- bank card payment;
- bank transfer to the Provider’s account.
4. Booking and Payment Procedure4.1. The Guest may book accommodation via website, telephone, or email.
4.2. The Guest confirms the accuracy of all personal data provided and bears full responsibility for its correctness.
4.3. Booking is only guaranteed. To confirm a guaranteed booking, the Guest must make a prepayment by bank transfer. Guaranteed booking is held until 12:00 on the day following the check-in date. Accommodation is provided after 100% prepayment or credit card guarantee.
4.4. Accommodation is charged on a daily basis.
4.5. After booking, the Provider informs the Guest of the booking number and price. Payment may be made by:
- cash;
- bank card;
- bank transfer.
Payment documents must be provided upon request.
4.6. Check-in is possible only upon presentation of an identity document. Foreign citizens must also present a valid visa and migration card.
4.7. In case of cancellation, prepaid amounts may be refunded according to booking conditions, taking into account clauses 3.2.9−3.2.11.
5. Liability of the Parties5.1. The Provider is liable for harm caused to the Guest’s life or health due to service deficiencies in accordance with Russian law.
5.2. The Guest shall compensate for any damage caused to the Provider’s property due to the Guest’s fault.
5.3. The Provider shall not be liable for failure to perform obligations due to force majeure, including but not limited to natural disasters, government actions, fires, floods, earthquakes, strikes, or other extraordinary circumstances.
5.4. Disputes shall be resolved in accordance with the applicable legislation of the Russian Federation.
6. Personal Data Processing6.1. The Provider undertakes not to disclose personal data to third parties without the Guest’s consent, unless required by law.
6.2. Personal data is processed solely for the purpose of providing services.
6.3. The Guest consents to the processing of personal data upon entering into this Agreement.
6.4. If the Guest refuses consent to personal data processing, accommodation cannot be provided.
7. Amendment and Termination7.1. The Provider may amend this Agreement at any time. Changes take effect upon publication on the Website.
7.2. The Agreement may be terminated unilaterally by the Provider in case of breach by the Guest.
7.3. The Guest may terminate the Agreement at any time subject to compensation for documented expenses.
8. Term of the Agreement8.1. The Agreement enters into force upon payment for booking (acceptance of the offer) and remains valid until full performance by both Parties.
